In Coleman v. Retina Consultants, P.C., the Georgia Supreme Court examined whether Coleman, a former software engineer at Retina Consultants, violated trade secret laws and a noncompetition agreement with Retina Consultants (TREC), following his departure. The key issues included the enforceability of the noncompete clause in Coleman’s contract, TREC’s trade secret protection claims, and the scope of an injunction that restricted Coleman’s use of certain software and proprietary information. Case Background     Coleman developed a medical billing program, Clinex, before joining TREC. While employed, he modified this software into a new program, Clinex-RE, which included TREC’s confidential information and was tailored to its retina surgery practice. A 2003 agreement between Coleman and TREC allowed TREC a license to use and sell Clinex but included a noncompetition clause that barred Coleman from selling or licensing Clinex or similar software to other ophthalmologists without TREC’s consent. After resigning, Coleman allegedly withheld encryption keys and source codes necessary to operate Clinex-RE at TREC, attempted to distribute the software to other ophthalmologists, and refused to return copies of the software and documentation to TREC. TREC sued Coleman, seeking an injunction to enforce the noncompete clause and restrict him from using TREC’s proprietary information. Court’s Analysis and Decision 1. Noncompetition Clause    Reasonableness Standard: For a noncompete clause to be enforceable, it must have reasonable restrictions in duration, territorial coverage, and scope of activity to prevent an unfair restraint on competition. Lack of Time and Geographic Limits: The court found the clause unreasonable as it lacked a time limit, effectively restraining Coleman “in perpetuity,” and did not specify a geographic area, making it overbroad. Outcome on Noncompete: The court ruled the noncompete clause unenforceable, meaning it could not prevent Coleman from marketing his original software, Clinex, or Clinex-RE if not integrated with TREC’s proprietary information. 2. Trade Secrets and Proprietary Information  Clinex-RE as TREC’s Trade Secret: The court upheld that Clinex-RE, which incorporated TREC’s proprietary information, qualified as TREC’s trade secret. Even in the absence of a valid noncompete agreement, trade secrets law prohibits former employees from misappropriating and using  confidential information gained during employment to compete with the former employer. Injunction Scope on Trade Secrets: The court permitted the injunction to prohibit Coleman from using or disclosing any of TREC’s trade secrets contained in Clinex-RE. However, the court modified the injunction so that it did not restrict Coleman’s use or marketing of his own Clinex software, as long as it did not include TREC’s confidential information. 3. Errors in Injunction Terms   Overreach on Clinex Software: The court noted the trial court’s error in restricting Coleman from retaining any information related to Clinex, his original program. The restriction went beyond trade secrets protection and the Software Agreement’s terms, as Clinex itself did not contain TREC’s proprietary information. Modification of Injunction: The court modified the injunction, limiting it only to Clinex-RE software and TREC’s trade secrets, and clarified that Coleman retained rights to Clinex, provided he did not integrate TREC’s confidential information. Conclusion The Georgia Supreme Court affirmed part of the trial court’s decision, upholding the protection of TREC’s trade secrets embedded in Clinex-RE. However, it reversed the enforcement of the noncompete clause and modified the injunction to prevent overreach. Coleman could not use TREC’s trade secrets but retained the right to use his Clinex software independently.
